Terms and Conditions of Sale, Installation and Maintenance

1. Definitions

“Company” means Prosecure Group Ltd.

“Customer” means the person, company, organisation or entity purchasing goods and/or services from the Company.

“Works” means the supply, installation, commissioning, maintenance, repair, monitoring, or any other services provided by the Company.

“Equipment” means all equipment, materials, software, hardware, devices and accessories supplied by the Company.

“Contract” means the agreement between the Company and the Customer incorporating these Terms and Conditions.

 

2. Acceptance of Terms

2.1 All quotations, works, goods and services supplied by the Company are subject to these Terms and Conditions.

2.2 Acceptance of a quotation, purchase order, payment of deposit, or instruction to commence works shall constitute acceptance of these Terms and Conditions.

2.3 No variation to these Terms and Conditions shall be valid unless agreed in writing by a director of the Company.

 

3. Quotations

3.1 Quotations remain valid for 30 days unless otherwise stated.

3.2 Quotations are based upon information provided by the Customer and site conditions apparent at the time of survey.

3.3 The Company reserves the right to revise costs where unforeseen site conditions, customer variations, or additional works are required.

3.4 Any items not specifically included within the quotation shall be deemed excluded.

 

4. Scope of Works

4.1 The Company shall carry out the works described within the quotation and associated documentation.

4.2 Any additional works requested by the Customer shall be treated as a variation and may incur additional charges.

4.3 Unless specifically stated, quotations do not include:

Builders’ works

Structural alterations

Decoration or making good

Asbestos removal

Electrical upgrades

IT infrastructure upgrades

Network configuration beyond system requirements

Planning permission applications

Traffic management

Lifting equipment hire

Cherry picker hire

Road closures

Civil engineering works

 

5. Customer Responsibilities

The Customer shall:

5.1 Provide safe and unrestricted access to all work areas.

5.2 Ensure suitable mains power and network connectivity are available where required.

5.3 Obtain all permissions, approvals, landlord consents, planning permissions, wayleaves or permits required before works commence.

5.4 Inform the Company of any known hazards including:

Asbestos

Concealed services

Hazardous substances

Structural defects

5.5 Ensure work areas are clear and accessible.

5.6 Provide access during agreed working hours.

 

6. Deposits and Payment

6.1 The Company may require a deposit before works commence.

6.2 Unless otherwise agreed:

50% deposit upon order

Balance payable immediately upon completion

6.3 For larger projects the Company may issue staged invoices.

6.4 All invoices shall be payable within 14 days unless otherwise agreed in writing.

6.5 The Company reserves the right to suspend works where payments become overdue.

6.6 Late payments may incur interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6.7 The Customer shall be liable for all reasonable debt recovery and legal costs incurred.

 

7. Retention of Title

7.1 Ownership of all Equipment remains with the Company until full payment has been received.

7.2 Until ownership passes, the Customer shall:

Keep Equipment insured

Not sell or dispose of Equipment

Allow the Company access to recover unpaid goods if required

 

8. Installation Works

8.1 The Company shall use reasonable skill and care when carrying out installations.

8.2 Cable routes, equipment positions and mounting methods may be varied where necessary due to site conditions.

8.3 Minor cosmetic damage may occur during installation despite reasonable care being exercised.

8.4 Surface-mounted containment may be used where concealed cabling is impractical.

8.5 The Company will endeavour to minimise disruption but shall not be liable for unavoidable disturbance caused by installation activities.

 

9. System Performance

9.1 Security systems reduce risk but cannot guarantee prevention of:

Theft

Intrusion

Fire

Vandalism

Damage

Personal injury

Business interruption

9.2 The Company does not warrant that any system will be free from failure, tampering, interference or misuse.

9.3 CCTV image quality may be affected by:

Weather

Lighting conditions

Network performance

Obstructions

Environmental conditions

9.4 Detection devices may be affected by environmental factors beyond the Company’s control.

 

10. Maintenance

10.1 Regular maintenance is strongly recommended.

10.2 Failure to maintain systems may invalidate warranties.

10.3 Maintenance visits shall be conducted in accordance with the maintenance agreement where applicable.

10.4 Maintenance agreements do not include replacement equipment unless specifically stated.

10.5 Consumables including batteries, fuses, lamps and similar items may be chargeable.

 

11. Monitoring Services

11.1 Where monitoring services are provided, the Company shall use reasonable endeavours to ensure continuity of service.

11.2 The Company shall not be liable for failures caused by:

Telephone network failures

Internet outages

Mobile network outages

Power failures

Third-party service providers

11.3 Monitoring charges remain payable regardless of temporary service interruptions beyond the Company’s control.

 

12. CCTV Systems

12.1 The Customer is responsible for ensuring compliance with applicable privacy and data protection legislation.

12.2 The Customer shall be responsible for:

Appropriate signage

Data retention policies

Subject Access Requests

GDPR compliance

12.3 The Company accepts no responsibility for the Customer’s use or storage of CCTV footage.

 

13. Fire Alarm Systems

13.1 Fire alarm systems shall be installed in accordance with the specification provided.

13.2 Unless specifically stated, the Company does not certify that the system fully complies with any particular British Standard or insurance requirement.

13.3 The Customer remains responsible for:

Fire risk assessments

Emergency procedures

Staff training

Weekly testing

Record keeping

 

14. Gates, Barriers and Automation Systems

14.1 Automated gates and barriers require routine inspection and maintenance.

14.2 The Customer shall ensure gates and barriers are not operated where safety devices are defective.

14.3 The Customer shall immediately report any safety-related faults.

14.4 The Company accepts no liability arising from misuse, abuse, unauthorised modifications or lack of maintenance.

 

15. Warranties

15.1 Equipment supplied by the Company shall carry a 12-month warranty unless otherwise stated.

15.2 The warranty covers defects in workmanship and materials only.

15.3 The warranty excludes:

Accidental damage

Misuse

Vandalism

Water ingress

Lightning damage

Power surges

Network failures

Third-party interference

Customer modifications

15.4 Manufacturer warranties may apply in addition to the Company’s warranty.

16.Infrastructure Changes and Customer Alterations

16.1 Infrastructure Dependencies

The Customer acknowledges that the performance and operation of security systems supplied by the Company may depend upon existing site infrastructure, including but not limited to:

Internet and broadband services

Mobile network services

Telephone lines

Local Area Networks (LAN)

Network switches and routers

Wireless networking equipment

Electrical supplies

Distribution boards and circuits

Building structure and layout

Third-party software or cloud services

16.2 Customer Alterations

The Company shall not be liable for any faults, failures, loss of functionality, reduced performance, interruption of service, loss of recordings, communication failures, or damage to any system resulting directly or indirectly from:

Changes to internet service providers

Changes to broadband equipment, routers or firewalls

Changes to network infrastructure

Changes to telephone providers or telephone lines

Building alterations or refurbishment works

Electrical modifications

Power failures, power interruptions or power surges

Relocation of equipment by persons other than the Company

Installation of third-party equipment

Network configuration changes

Password changes preventing system access

Removal or alteration of cabling

Environmental changes affecting system performance

Any act or omission of the Customer, their employees, contractors, tenants, agents or third parties

16.3 Chargeable Remedial Works

Where attendance, investigation, repair, reconfiguration, recommissioning or remedial works are required as a result of any of the circumstances described above, such works shall be chargeable to the Customer at the Company’s prevailing labour, travel, equipment and call-out rates, regardless of whether the system is covered by warranty or maintenance agreement.

16.4 Warranty Exclusions

Any warranty provided by the Company shall be immediately void in respect of faults or failures caused by infrastructure changes, customer alterations, third-party interference, power issues, network changes or unauthorised modifications.

16.5 Customer Notification

The Customer agrees to notify the Company of any planned changes to site infrastructure that may affect the operation of installed systems. Failure to provide such notification shall not create any liability on the part of the Company for any resulting faults, failures or service interruptions.

 

17. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control including:

Severe weather

Flooding

Fire

Pandemic

Industrial action

Material shortages

Utility failures

Government restrictions

 

18. Limitation of Liability

18.1 The Company’s total liability arising under any contract shall not exceed the value of the contract.

18.2 The Company shall not be liable for:

Consequential losses

Loss of profits

Loss of business

Loss of contracts

Loss of revenue

Loss of data

Loss of goodwill

18.3 Nothing in these Terms shall exclude liability for:

Death or personal injury caused by negligence

Fraud or fraudulent misrepresentation

Any liability which cannot legally be excluded

 

19. Cancellation

19.1 Orders may only be cancelled with the Company’s written agreement.

19.2 The Company reserves the right to charge for:

Materials ordered

Labour incurred

Design work completed

Administrative costs

Cancellation charges from suppliers

19.3 Deposits are non-refundable once materials have been ordered.

 

20. Termination

20.1 The Company may terminate the contract immediately where:

Payment is overdue

Access is denied

Health and safety concerns arise

The Customer breaches these Terms

20.2 All costs incurred up to termination shall become immediately payable.

 

21. Intellectual Property

21.1 All drawings, designs, specifications and documentation remain the property of the Company unless otherwise agreed.

20.2 Such documents shall not be copied, reproduced or disclosed to third parties without written consent.

 

22. Data Protection

22.1 The Company shall process personal data in accordance with applicable data protection legislation.

22.2 Personal information may be used for:

Contract administration

Service delivery

Maintenance scheduling

Legal compliance

 

23. Complaints

23.1 Any complaints must be submitted in writing within 14 days of the issue arising.

23.2 The Company shall investigate complaints and respond within a reasonable period.

 

24. Governing Law

24.1 These Terms and Conditions shall be governed by the laws of England and Wales.

24.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
